Terms of Service

1. Acceptance of Terms

These Terms of Service are a binding agreement between you and MosaicQR LLC, a Delaware limited liability company (“MosaicQR,” “we,” or “us”). By using MosaicQR at mosaicqr.com (“the Service”), you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service. You must be at least 13 years old to use the Service and legally able to enter a contract to make purchases.

2. The Service

MosaicQR generates branded QR codes from a destination URL and a reference image using patent-pending mosaic QR technology. Free use is limited to watermarked PNG codes. Paid options are described on our pricing page: one-time per-URL unlocks (watermark-free PNG, SVG, and EPS downloads and custom image uploads for that URL) and Dynamic QR subscription plans (editable destinations and scan analytics). The prices, features, and plan limits (such as code counts and monthly scan caps) shown at checkout govern your purchase.

3. Accounts

Paid features require an account. You are responsible for keeping your credentials secure and for all activity under your account. Keep your account email current; it is how we send billing and legal notices.

4. Acceptable Use

  • Only upload logos or images you have the rights to use. You are solely responsible for the content you submit.
  • Do not upload content, or link to destinations, that are illegal, infringing, defamatory, obscene, or deceptive, and do not use the Service for any unlawful purpose.
  • Do not create QR codes or redirects that point to phishing, malware, or otherwise harmful destinations. We may check destination URLs and disable codes or accounts that violate these Terms.
  • Do not interfere with, compromise, or disrupt the Service or its infrastructure.

5. Intellectual Property

You retain all rights to the images you upload and the QR codes generated from them. You grant us a limited license to host and process your content solely to provide the Service. The MosaicQR name, branding, website design, and underlying technology are our intellectual property and may not be copied, modified, or distributed without our written permission.

6. Payments, Subscriptions, and Refunds

  • Payments are processed securely by Stripe; we never see or store your card details.
  • Per-URL unlocks are a one-time charge tied to the specific URL you provide and remain associated with your account.
  • Dynamic QR plans are subscriptions that renew automatically (monthly or annually) and are charged to your payment method at the start of each billing period until you cancel. You can cancel or switch plans anytime from your account; cancellation takes effect at the end of the current billing period. We will give advance notice of subscription price changes, effective no earlier than your next renewal.
  • Except where required by law, payments are non-refundable and partial billing periods are not prorated. For technical issues, contact contact@mosaicqr.com.

7. Dynamic QR Codes

Dynamic codes encode a MosaicQR short link that redirects to your destination and require an active subscription. If your subscription ends or a code exceeds your plan limits, the code may stop redirecting (visitors see an inactive notice) until you resubscribe or upgrade, including on materials you have already printed. Scan analytics are approximate and provided as-is. Test every dynamic code before printing or distributing it.

8. Data and Storage

Images uploaded for static generation are stored temporarily and automatically deleted within 24 hours. Account records, dynamic QR configurations, and aggregate scan analytics are retained while your account is active. For details, see our Privacy Policy.

9. Disclaimers; Scannability

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted or error-free operation and may modify, suspend, or discontinue the Service. We do not warrant that generated QR codes will scan on any particular device or under any particular conditions. See our Printing Guide for sizing and format guidance, and test every code on your intended scanning devices before printing, distributing, or otherwise relying on it.

10. Limitation of Liability

To the fullest extent permitted by law, MosaicQR shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising from your use of the Service. Our total liability for all claims relating to the Service is limited to the greater of the amounts you paid us in the 12 months before the claim or $50.

11. Indemnification

You will indemnify and hold MosaicQR harmless from claims and expenses arising out of content you upload, destinations you link to, or your violation of these Terms.

12. Termination

We may suspend or terminate your access, including deactivating QR codes, if you violate these Terms. You may close your account at any time. Provisions that by their nature should survive (including payment terms, disclaimers, liability limits, indemnification, and dispute resolution) survive termination.

13. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated “Last updated” date, and we will give reasonable advance notice of material changes (for example, by email or a notice on the Service). Continued use after changes take effect constitutes acceptance.

14. Governing Law and Dispute Resolution

Please read this section carefully. It affects your legal rights.

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, held in Delaware or remotely by video conference at your option, except that either party may bring qualifying claims in small claims court. The arbitrator’s decision is final and binding.

You and MosaicQR each waive the right to a jury trial and to participate in a class or representative action; claims may be brought only in an individual capacity, and the arbitrator may not consolidate claims or preside over any class proceeding. You may opt out of arbitration by emailing contact@mosaicqr.com within 30 days of first accepting these Terms.

Any claim not subject to arbitration shall be brought exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction and venue in those courts.

15. General; Contact

If any provision of these Terms is unenforceable, the remaining provisions remain in effect. These Terms are the entire agreement between you and MosaicQR regarding the Service.
